1. Definitions

In these Terms, the following terms have the meanings set out below:

• "Service" — the consulting services provided by Lạc Hồng Consulting as described on this website and in individual engagement agreements.
• "User" / "You" — any individual or organisation accessing this website or entering into an engagement with Lạc Hồng.
• "We" / "Us" / "Our" — Lạc Hồng Consulting, based at 45 Nguyễn Huệ Boulevard, District 1, Ho Chi Minh City 700000, Vietnam.
• "Agreement" — these Terms together with any specific engagement scope agreement signed between you and us.
• "Content" — all text, reports, frameworks, and materials produced by us in the course of an engagement.

2. Acceptance of Terms

By accessing our website or entering into a consulting engagement with us, you confirm that you have read, understood, and agree to these Terms. If you are entering into an agreement on behalf of an organisation, you represent that you have the authority to bind that organisation.

Our services are intended for businesses and professional users. Individuals must be at least 18 years of age to engage with us.

3. Service Description

We offer three consulting service lines — Strategic Growth Advisory (90 days), Operational Efficiency Review (6 weeks), and Executive Leadership Development Program (12 weeks) — as described in detail on the Solutions page of this website.

The specific scope, deliverables, timeline, and fee for each engagement are agreed and set out in a written engagement agreement signed by both parties before work commences. The descriptions on this website are for general information only and do not constitute a binding offer.

We reserve the right to decline an engagement if we determine it is not appropriate for the services we provide.

4. User Responsibilities

To enable us to conduct an effective engagement, you agree to:

• Provide accurate, complete, and timely information when requested.
• Make relevant personnel available for interviews, workshops, and observation sessions as scheduled.
• Review and respond to draft findings within the timeframes agreed in the engagement scope.
• Use any deliverables or recommendations only for lawful purposes and in connection with the business they describe.

You must not use this website or our services for any unlawful purpose, to transmit harmful or fraudulent content, or to infringe the rights of any third party.

5. Intellectual Property

All methodologies, frameworks, and tools used by us in engagements remain our intellectual property. Deliverables produced specifically for your engagement (reports, roadmaps, development portfolios) are provided to you under a non-exclusive, non-transferable licence for your internal business use.

You may not reproduce, share externally, or commercialise our deliverables without our prior written consent. Generic frameworks and methodologies used across multiple engagements remain exclusively ours.

6. Payment Terms

Fees are as stated on the Solutions page and confirmed in the engagement agreement. All fees are denominated in Vietnamese Dong (₫). Payment is due as follows unless otherwise agreed in the engagement agreement:

• 50% of the engagement fee upon signing the engagement agreement.
• 50% upon delivery of the final written deliverable.

Invoices are payable within 14 calendar days of issue. Late payment may result in suspension of the engagement. We do not offer refunds for work completed or in progress, except where we are in material breach of the engagement agreement.

7. Confidentiality

Both parties agree to keep confidential any non-public information shared during an engagement. A mutual non-disclosure agreement is signed as part of the engagement scope process. Our confidentiality obligations survive the end of any engagement for a period of 5 years.

8. Disclaimers

Our services and website are provided in good faith based on the information available to us. Consulting recommendations are advisory in nature and do not constitute legal, financial, or regulatory advice. Outcomes depend on factors beyond our control, including how recommendations are implemented.

We do not warrant that the results described in case studies or testimonials will be achieved in your engagement. All outcomes referenced are specific to the circumstances of those engagements.

9. Limitation of Liability

To the fullest extent permitted by applicable law, our total liability to you in connection with any engagement shall not exceed the total fees paid by you for that engagement. We shall not be liable for any indirect, consequential, or punitive damages arising out of or related to our services.

Nothing in these Terms limits our liability for fraud, gross negligence, or any other liability that cannot be limited by law.

10. Termination

Either party may terminate an engagement by giving 14 days' written notice. In the event of termination, fees for work completed to the date of termination are due and payable. We reserve the right to terminate an engagement immediately where a client provides materially inaccurate information or engages in conduct that makes continuation unreasonable.

11. Dispute Resolution

These Terms and any engagement agreement are governed by the laws of the Socialist Republic of Vietnam. In the event of a dispute, the parties agree to first attempt resolution through direct discussion in good faith.

If no resolution is reached within 30 days, disputes may be referred to the Ho Chi Minh City People's Court or to arbitration under the rules of the Vietnam International Arbitration Centre (VIAC), as agreed between the parties.

12. General Provisions

These Terms, together with any signed engagement agreement, constitute the entire agreement between the parties. If any provision is found to be unenforceable, the remaining provisions continue in full force. Our failure to enforce any right does not constitute a waiver of that right.

13. Changes to These Terms

We may update these Terms from time to time. The most recent version will be published on this page with the updated date noted above. Continued use of the website after any changes constitutes acceptance of the revised Terms. Ongoing engagement agreements are governed by the Terms in effect at the time the agreement was signed.
